S O L U T I O N
CREATING A
SPECIAL SENATE COMMISSION TO STUDY THE RI CORPORATION AND PARTNERSHIP ACTS

It is enacted by the
General Assembly as follows:
RESOLVED,
A special Senate commission is hereby created consisting of nine (9)
members: three (3) of whom shall be from the Senate, not more
than two (2) of whom shall be
from the same political party, to be appointed by the
Senate President; one of whom shall be the
Secretary of State, or his
designee; one of whom shall be from the RI Bar Association, to be
appointed by the Senate President; one of whom shall be a
Certified Public Accountant, licensed
in RI, to be appointed by the Senate President; one of
whom shall be the Presiding Justice of the
Superior Court, or his or
her designee; and two (2) representatives of businesses in RI, one of
whom shall be from a company with less than one hundred
(100) employees, to be appointed by
the Senate President, and one of whom shall be from a
company with greater than one hundred
(100)
employees, to be appointed by the Senate President.
In
lieu of any appointment of a member of the legislature to a permanent advisory
commission, a legislative study commission, or any commission
created by a general assembly
resolution, the appointing authority may appoint a member of the
general public to serve in lieu
of a legislator, provided that the Majority Leader or
the Minority Leader of the political party
which is entitled to the appointment consents to the
appointment of the member of the general
public.
The
purpose of the commission shall be to: (1) Study the state’s business laws,
comparing and contrasting RI’s laws with the laws of other
states, and (2) Recommend the
adoption of best practices, to make the state more business friendly.
Forthwith
upon passage of this resolution, the members of the commission shall meet at
the call of the Senate President and organize and shall
select from among the senators a
Chairperson. Vacancies in said commission shall be filled in like
manner as the original
appointment.
The
membership shall receive no compensation for their services.
All
departments, boards, commissions and agencies of the state shall furnish such
advice
and information, documentary and otherwise, to said
commission and its agents as is deemed
necessary or desirable by the commission to facilitate the
purposes of this resolution.
The
Joint Committee on Legislative Services is hereby authorized and directed to
provide
suitable support, assistance, and quarters for the commission;
and be it further
RESOLVED,
That the commission shall report its findings and
recommendations to the
Senate on or before January
3, 2012, and the commission shall expire on May 1, 2012.
